Ruixen UI Pro
Commercial License

Subject to your purchase of an active Individual or Team membership and compliance with this license, Ruixen UI grants you a worldwide, non-exclusive, non-transferable, perpetual license to install, modify, and ship the components, elements, and templates distributed under @ruixenui-pro/* inside your end products.

"End product" means a website, web application, native application, internal tool, or marketing surface that the licensed code is compiled into. The license follows the end product for its lifetime — there is no recurring renewal.

Use of the Pro components is scoped to the licensed developers under your plan:

• Individual — One (1) named developer. Typically a solo founder, freelancer, or indie hacker. The CLI token and account are held by that single individual.
• Team — Up to five (5) named developers working at the same organization. Each named developer may install the components on workstations they own and operate. When a developer leaves the organization, you must revoke their seat and may re-assign it to a replacement.

Seat management beyond the buyer's account is being rolled out incrementally. Until per-seat invitations ship in /account/team, Team buyers operate under a single shared CLI token. The license still permits use by up to five named developers in your organization — sharing the token does not change the seat count cap.

Inside your seat count, you may:

• Use the components in an unlimited number of personal and commercial projects.
• Use the components in client work, agency work, and internal tools (Team membership is purpose-built for this).
• Modify, restyle, fork, and extend the source freely inside your projects.
• Ship end products that contain the components to customers, employees, partners, and the public.

You may not:

• Redistribute the components, elements, or templates as a standalone library, kit, theme, or competing UI product — whether free or paid.
• Publish the licensed source code to a public registry (npm, PyPI, GitHub Releases, etc.) or to a public repository where it can be installed by others.
• Use the source as training data for any machine learning model, AI assistant, or code-generation system.
• Share your CLI token or your account credentials beyond the seats permitted by your plan.
• Remove or obscure attribution, copyright notices, or license markers from the source in a way that misrepresents authorship.

Your membership grants you lifetime access to all components, elements, templates, and bug fixes available at the time of purchase, plus all future updates to those items released after your purchase date. There is no separate update fee.

Ruixen UI may discontinue, rename, or replace specific components at any time. When a component is renamed or replaced, the underlying code is preserved in your installed projects; only the registry alias changes.

Ruixen UI retains all intellectual property rights in the source code, designs, and brand. This license grants you the right to use the code in end products — not ownership of the code itself.

Code you write that integrates the components remains your intellectual property.

Memberships are eligible for a full refund within 14 days of purchase if you have not generated a CLI token or installed any component. After either action, the membership is considered consumed. Contact support@ruixen.com to request a refund.

This license terminates automatically if you breach any restriction in Section 4. On termination, your CLI token is revoked and you must stop installing further Pro components. End products already shipped retain their license for the lifetime of those products.

THE COMPONENTS ARE PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL RUIXEN UI OR ITS CONTRIBUTORS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY ARISING FROM, OUT OF, OR IN CONNECTION WITH THE COMPONENTS OR THE USE OF THE COMPONENTS.

To the maximum extent permitted by applicable law, the total liability of Ruixen UI to you for all claims under this license is capped at the amount you paid for your membership during the twelve (12) months preceding the claim.

If any provision of this license is held to be unenforceable, the remaining provisions remain in full force. The unenforceable provision will be replaced with an enforceable one that most closely matches the original intent.

This license is governed by the laws of the jurisdiction in which Ruixen UI is registered, without regard to its conflict-of-law principles. Disputes will be resolved first by good-faith negotiation, then by binding arbitration in that jurisdiction.
